TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Jently, Inc., a Delaware corporation (“Jently,” “we,” “us,” or “our”), governing your access to and use of the Jently website, applications, patient portals, subscription programs, and related products and services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Definitions

For purposes of these Terms, the following definitions apply:

  • “Account” means a user account created to access the Services.

  • “Affiliates” means any entity that directly or indirectly controls, is controlled by, or is under common control with Jently.

  • “Agreement” means these Terms together with any policies, notices, disclosures, or documents incorporated by reference.

  • “Authorized User” means any individual authorized to access the Services through an Account.

  • “Content” means all text, data, graphics, images, audio, video, software, interfaces, and other materials made available through the Services.

  • “HIPAA” means the Health Insurance Portability and Accountability Act of 1996, as amended, and its implementing regulations.

  • “PHI” means Protected Health Information as defined under HIPAA.

  • “Platform” means the websites, applications, software, systems, and technological infrastructure operated by or on behalf of Jently.

  • “Providers” means licensed healthcare professionals affiliated with or made available through third-party clinical networks, including MD Integrations.

  • “Services” means all features, subscriptions, programs, tools, content, and functionality provided by Jently through the Platform.

  • “Telehealth” means healthcare services delivered through electronic communications technologies.

2. Scope of Services & Role of Jently

Jently is a technology and administrative services platform that facilitates access to telehealth services.

Jently does not practice medicine, provide medical advice, diagnose conditions, prescribe medications, or employ healthcare providers.

All clinical services—including medical evaluations, diagnoses, treatment recommendations, and prescription decisions—are made solely by licensed Providers accessed through third-party clinical networks such as MD Integrations, which operate independently of Jently.

Nothing in these Terms creates a physician-patient relationship between you and Jently.

2.1 Nationwide Availability

Subject to applicable law, licensure, and clinical appropriateness, the Services are made available to eligible patients located in all fifty (50) United States and the District of Columbia. Availability may vary based on state-specific regulatory requirements, medical appropriateness, and provider discretion.

3. Telehealth Consent

By using the Services, you expressly consent to receive healthcare services via Telehealth, including remote consultations, asynchronous communications, electronic messaging, and electronic medical records.

You acknowledge and agree that:

  • Telehealth services have inherent limitations

  • Telehealth may not be appropriate for all medical conditions

  • Telehealth is not a substitute for in-person emergency care

If you believe you are experiencing a medical emergency, call 911 immediately.

You may withdraw consent to Telehealth at any time by discontinuing use of the Services.

4. Telehealth Acknowledgment

You acknowledge, understand, and agree that:

  • Telehealth involves the use of electronic communications to enable healthcare services when the patient and provider are not in the same physical location

  • Technical failures, interruptions, latency, data transmission errors, or security vulnerabilities may occur despite reasonable safeguards

  • The absence of an in-person physical examination may affect the accuracy of diagnoses or treatment recommendations

  • Providers may determine that Telehealth is not clinically appropriate and may require or recommend in-person care

  • You assume the risks associated with the limitations of Telehealth services to the extent permitted by law

5. Eligibility

To access or use the Services, you must:

  • Be at least 18 years old

  • Be physically located in a jurisdiction where Providers are authorized to practice

  • Provide accurate, complete, and truthful information

Providing false, misleading, or incomplete information may result in suspension or termination of access to the Services.

6. Medical Disclaimer

  • The Services do not guarantee any specific medical outcome

  • Individual results may vary

  • Content provided through the Platform is for informational purposes only and does not constitute medical advice

  • You are responsible for following the instructions of your licensed Provider

7. Prescriptions & Medications

  • Prescriptions are issued only if medically appropriate, as determined by a licensed Provider.

  • Jently does not guarantee that a prescription will be issued.

  • Medications are dispensed and shipped by third-party pharmacies

  • Once medication has been dispensed, no refunds are available.

  • Jently is not responsible for pharmacy delays, shortages, recalls, or shipping issues

8. Subscriptions, Billing & Payments

Certain Services are offered on a recurring subscription basis.


By enrolling, you authorize Jently to charge your payment method on a recurring basis until canceled.

  • Charges may occur only after clinical approval

  • Prices may change with advance notice

  • Failed, reversed, or disputed payments may result in suspension or termination of Services

9. Cancellations & Refunds

  • You may cancel your subscription at any time through your account

  • Cancellations apply prospectively only

  • No refunds are provided for completed consultations or dispensed medications

  • Billing errors will be reviewed in good faith on a case-by-case basis

10. HIPAA & Privacy

Jently complies with applicable privacy and security laws, including HIPAA, where applicable.


PHI is handled in accordance with:

  • Jently’s Privacy Policy

  • Applicable Notices of Privacy Practices issued by clinical partners

You retain all rights afforded to you under HIPAA, including rights to access, amend, and receive an accounting of disclosures of your PHI.

11. Compliance With Laws and Regulations

You agree to access and use the Services in compliance with all applicable federal, state, and local laws, rules, and regulations, including but not limited to laws governing:

  • Telehealth and remote healthcare services

  • Medical licensure and scope of practice

  • Controlled substances and prescription medications

  • Patient privacy, confidentiality, and data protection

  • Consumer protection and subscription billing

You acknowledge that healthcare services are subject to jurisdiction-specific requirements and that availability of Services may vary based on applicable law and regulatory guidance.

12. Data Security & Account Responsibility

You are responsible for maintaining the confidentiality of your Account credentials.

You agree to:

  • Promptly notify Jently of unauthorized access

  • Accept responsibility for all activity conducted under your Account

13. Third-Party Services

The Services may rely on or integrate with third-party services, including clinical networks, pharmacies, payment processors, hosting providers, and communications platforms.

Jently does not control and is not responsible for third-party services and expressly disclaims all liability arising from their availability, performance, or security.

14. Intellectual Property & Reservation of Rights

All rights, title, and interest in the Platform, Services, and Content are owned by or licensed to Jently.

You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services solely for personal, lawful purposes in accordance with these Terms.

All rights not expressly granted are reserved by Jently. No rights are granted by implication, estoppel, or otherwise.

15. Termination

Jently may suspend or terminate access to the Services for any reason, including:

  • Violation of these Terms

  • Fraud, abuse, or misuse

  • Failure to pay

  • Legal, regulatory, or compliance requirements

Termination does not affect accrued rights or obligations.

16. Limitation of Liability

To the maximum extent permitted by law:

  • Jently shall not be liable for indirect, incidental, consequential, special, or punitive damages

  • Jently’s total liability shall not exceed the amount paid by you to Jently in the twelve (12) months preceding the claim

17. Indemnification

You agree to indemnify, defend, and hold harmless Jently from any claims, damages, liabilities, losses, or expenses arising out of:

  • Your misuse of the Services

  • False or inaccurate information provided

  • Violation of these Terms or applicable law

18. Arbitration & Class Action Waiver

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration, except where prohibited by law.

You waive any right to participate in class, collective, or representative actions.

You may opt out of arbitration within thirty (30) days of first accepting these Terms by providing written notice.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

20. Force Majeure

Jently shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, governmental actions, power outages, telecommunications failures, labor disputes, or third-party service interruptions.

21. Miscellaneous

  • No Waiver: Failure to enforce any provision shall not constitute a waiver

  • Severability: Invalid provisions do not affect remaining provisions

  • Assignment: Jently may assign these Terms without restriction

  • Entire Agreement: These Terms constitute the entire agreement between you and Jently regarding the Services
